OPS RUN – General Liability Waiver and Release Agreement

Effective Date: September 26, 2025

Entity: Ops Experiences Inc. ('the Company')

App: OPS RUN ('the App')

Governing Law: State of Maryland, USA (enforceable across the United States and Canada)

1. Acknowledgment of Risks

By registering for, accessing, or using the App, I understand and agree that participating in physical activities such as running and using features offered through the App (including but not limited to location tracking, pace sharing, challenges, or group meetups) involves inherent risks, including but not limited to:

  • Physical injury (e.g., falls, strains, sprains, dehydration, heart conditions)
  • Environmental hazards (e.g., traffic, terrain, weather)
  • Actions or negligence of other users, third parties, or volunteer or designated run club organizers (whether affiliated with the App or independently organizing meetups through its platform)

I fully accept and assume all such risks, whether known or unknown.

2. Release of Liability

In consideration for the opportunity to use the App, I, on behalf of myself, my heirs, executors, administrators, assigns, and personal representatives, hereby fully and forever waive, release, discharge, and covenant not to sue the following parties:

  • Ops Experiences Inc., its officers, directors, employees, agents, affiliates, successors, and assigns
  • Any and all volunteer or designated organizers of run clubs or group events facilitated, promoted, listed, or communicated through the App, whether or not formally affiliated with the App

(collectively, the 'Released Parties')

From any and all claims, liabilities, demands, causes of action, damages, or losses, whether arising from negligence, strict liability, breach of contract, or otherwise, that relate in any way to:

  • My use or misuse of the App or its features
  • My participation in events, group runs, or meetups organized through or in connection with the App
  • My interactions with other users or organizers

3. Indemnification

I agree to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, losses, liabilities, damages, costs, or expenses (including reasonable attorneys' fees and court costs) arising out of or related to:

  • My use of the App
  • My participation in any running-related activity facilitated through or organized in connection with the App
  • My violation of this Agreement, any applicable law, or the rights of any third party

This indemnity shall apply to the fullest extent permitted by law.

4. Medical Disclaimer

I understand that the App does not provide medical advice and is not a substitute for professional health evaluation. I certify that I am physically fit, not aware of any health condition that would be aggravated by physical exertion, and have received clearance from a qualified medical professional to engage in running or fitness activities.

5. Assumption of Responsibility

I am solely responsible for:

  • Choosing safe running routes
  • Maintaining appropriate hydration, nutrition, and clothing
  • Running within my physical limits
  • Ensuring compliance with local laws, including pedestrian and traffic regulations

I understand that group events or clubs organized through the App are not supervised or insured by the Company or its representatives.

6. No Warranty / Use at Your Own Risk

The App and all features are provided 'as is' without warranties of any kind, express or implied. The Released Parties do not warrant:

  • The safety or accuracy of route recommendations
  • The reliability or conduct of other users
  • The uninterrupted or error-free operation of the App

7. Binding Agreement & Governing Law

This waiver shall be governed by and construed in accordance with the laws of the State of Maryland, USA, and is intended to be enforceable across the United States and Canada.

If any provision is found to be invalid or unenforceable, the remainder shall continue in full force and effect.

8. Parental Consent (If User is Under 18)

If the user is under 18, this waiver must be reviewed and agreed to by a parent or legal guardian, who accepts full responsibility for the minor's use of the App and agrees to all terms on their behalf.

9. Acceptance

By clicking 'I Agree,' registering an account, or using the App in any capacity, I acknowledge that I have read and understood this Agreement, and voluntarily accept all terms.

This waiver is digitally signed upon registration for a user's first run in the App and will apply to all subsequent runs, events, and meetups registered through or facilitated by the App.
